Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Parallect research platform ("Services") operated by Parallect ("we," "us," or "our"). By creating an account or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Description of Services

Parallect is an AI-powered research aggregation platform. When you submit a research query, Parallect transmits your query to one or more third-party AI providers (including OpenAI, Google Gemini, Perplexity AI, xAI/Grok, and Anthropic), collects the results, and synthesizes them into a unified research report. The Services also include features for managing research threads, following up on results, and sharing reports.

2. AI-Generated Content — Accuracy Disclaimers

The Services generate outputs ("Research Results") using third-party artificial intelligence systems. You acknowledge and agree that:

  1. AI-generated content may contain inaccuracies, errors, fabricated citations, hallucinations, biased perspectives, or misleading information.
  2. AI models are probabilistic and rapidly evolving. Research Results reflect patterns in training data and may perpetuate biases present in that data.
  3. Research Results are generated without human fact-checking and should not be treated as verified research.
  4. Parallect does not independently verify the accuracy, completeness, or appropriateness of any Research Results before presenting them to you.
  5. You are solely responsible for independently verifying all Research Results before using them for any purpose.

Research Results are not professional advice. Do not rely solely on Research Results for legal, medical, financial, investment, scientific, or any other high-stakes decisions without consulting qualified human experts in the relevant domain.

3. Third-Party Content and User-Generated Content

Third-Party AI Provider Content

Research Results are produced by third-party AI providers, not by Parallect. Parallect does not endorse, adopt, or take responsibility for any statement, claim, perspective, or factual assertion contained in Research Results. The inclusion of content from any provider does not imply that Parallect agrees with the conclusions or endorses the viewpoint expressed.

User-Generated Content

"Your Content" includes the research queries you submit, feedback, annotations, and any other content you provide through the Services. You retain ownership of Your Content. By submitting Your Content, you grant Parallect a worldwide, royalty-free license to use, store, process, and transmit Your Content solely as necessary to provide and improve the Services (including transmitting queries to third-party AI providers). You warrant that Your Content does not infringe on any third-party rights.

Published Reports

If you choose to publish a research report publicly, you are responsible for the content you make available. Parallect may remove published content that violates these Terms.

4. Accounts and Billing

You must provide accurate account information and maintain the security of your credentials. You are responsible for all activity under your account. Parallect uses a credit-based billing model. Credits are purchased in advance and consumed when research jobs run. Credit purchases are non-refundable except as required by law. Unused credits expire as described in your account settings.

5. Intellectual Property

Parallect does not claim copyright ownership over AI-generated Research Results. You acknowledge that AI-generated content may not be protectable under copyright law, as current law generally requires human authorship. To the extent any intellectual property rights exist in Research Results, we disclaim them in your favor, subject to the rights of the underlying AI providers.

Research Results may not be unique — similar queries submitted by different users or to the same AI providers directly may yield similar or identical results.

Parallect retains all rights in the platform itself, including its software, design, synthesis algorithms, branding, and documentation.

6. Acceptable Use

You agree not to use the Services to:

  • Violate any applicable law or regulation
  • Research, plan, or facilitate illegal activities, violence, or harm to others
  • Generate defamatory, threatening, harassing, or abusive content
  • Generate content that discriminates against or incites hatred toward protected groups
  • Generate deceptive or fraudulent content, including deepfakes or impersonations
  • Attempt unauthorized access to Parallect systems or other users' accounts
  • Scrape, bulk-download, or systematically extract content without authorization
  • Reverse-engineer or attempt to discover the underlying mechanisms of the platform
  • Interfere with the operation of the Services or other users' experience

Violations may result in warning, suspension, or termination of your account at our sole discretion and without prior notice.

7. Disclaimer of Warranties

THE SERVICES AND ALL RESEARCH RESULTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. We specifically disclaim all implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, secure, or that Research Results will be accurate, complete, or reliable.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, PARALLECT'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO PARALLECT IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

IN NO EVENT SHALL PARALLECT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COSTS OF SUBSTITUTE SERVICES, EVEN IF PARALLECT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

These limitations apply to all claims, whether based on contract, tort, negligence, strict liability, or any other legal theory. These limitations do not apply to liability that cannot be excluded under applicable law.

9. Indemnification

You agree to defend, indemnify, and hold harmless Parallect and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

  • Your use of the Services in violation of these Terms or applicable law
  • Your Content or queries that infringe third-party rights
  • Your reliance on Research Results for any decision or action
  • Your violation of the Acceptable Use policy
  • Any content you publish or share that was generated through the Services

10. Third-Party AI Providers

The Services depend on third-party AI providers. You acknowledge that:

  • Parallect is not responsible for third-party provider downtime, service interruptions, or changes to their capabilities
  • Parallect is not responsible for how third-party providers process, retain, or use your queries (see our Privacy Policy for details)
  • Third-party providers may change their models, policies, or services at any time, which may affect the quality or availability of Research Results

11. Suspension and Termination

We may suspend or terminate your account if you violate these Terms, engage in prohibited uses, or fail to pay applicable fees. You may delete your account at any time through your account settings. Upon termination, your research data will be retained for 90 days and then permanently deleted. You remain responsible for any fees incurred before termination.

12. Modifications to the Services and Terms

We may modify the Services or these Terms at any time. We will notify you of material changes by email or by posting a notice on the platform at least 30 days before changes take effect. Your continued use of the Services after the effective date constitutes your acceptance of the updated Terms. If you disagree with any changes, you may terminate your account.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from or related to these Terms will be resolved through binding arbitration administered by the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction. You agree to resolve disputes on an individual basis and waive any right to participate in a class action.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Parallect regarding your use of the Services.
